Terms of Service

Last Updated: July 1, 2026

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between your organization ("Client", "Manufacturer", "Applicant", or "you") and Spectrum Nexus ("Spectrum Nexus", "we", "us", or "our"), governing your access to our online portal (https://www.spectrumnex.com) and our international regulatory engineering, laboratory testing coordination, equipment certification, and in-country representative services.

By requesting a compliance quote, submitting hardware technical dossiers, executing an engagement statement of work, or utilizing our compliance portal, you signify your full agreement to these Terms.

2. Scope of Regulatory Engineering Services

Spectrum Nexus operates as a professional regulatory liaison and international market access management consultancy across 217+ sovereign jurisdictions. Our scope of professional engagement covers:

  • Pre-Compliance Feasibility & Regulatory Roadmaps: Spectrum allocation audits, power spectral density (PSD) threshold evaluations, and equipment classification under regional statutory frameworks (e.g., FCC, CE/RED, ANATEL, PTA, MIC, KC, SRRC, ISED).
  • Technical Dossier Assembly: Compilation of statutory technical construction files (TCF), European Union Declarations of Conformity (DoC), user manual compliance statements, localized safety notices, and mandatory labeling artwork.
  • Laboratory Testing Logistics: Facilitating testing campaigns with accredited ISO/IEC 17025 partner laboratories, managing temporary sample customs import clearances, and validating test data equivalency to bypass redundant domestic evaluations where permitted.
  • Agency Filings & Certificate Holding: Submitting applications directly to national regulatory agencies, Telecommunication Certification Bodies (TCBs), and Conformity Assessment Bodies (CABs), and maintaining official grant registries.
  • In-Country Local Representation: Serving as or appointing registered resident corporate entities to fulfill statutory legal representation mandates in designated international markets.

3. Client Obligations & Technical Accuracy

The accuracy and legal validity of any regulatory type approval directly depend on the fidelity of data supplied by the Client. The Client explicitly warrants and agrees that:

  • All electrical schematics, block diagrams, component bills of materials, antenna specifications, and firmware versions provided to Spectrum Nexus represent true, complete, and identical configurations of the production hardware intended for commercial sale.
  • Hardware test samples dispatched for laboratory evaluation are functional, representative of production builds, and pre-configured with operational test modes permitting RF transmission at specified frequencies and power levels.
  • The Client possesses all required proprietary intellectual property rights, trademarks, and authorization licenses for equipment submitted for certification.
  • Any post-grant hardware alterations, firmware modifications affecting radio frequency parameters, component substitutions, or enclosure revisions will be reported to Spectrum Nexus prior to commercial shipment to evaluate permissive change requirements.

4. Sovereign Authority Discretion & Processing Timelines

Estimated approval lead times, processing schedules, and regulatory roadmaps communicated by Spectrum Nexus are established based on historical processing averages, agency published standards, and current ministerial queues.

The Client acknowledges that sovereign government ministries, national telecommunications commissions, and regional standards authorities retain exclusive, sovereign discretion over application approvals, requests for technical clarification (RFIs), laboratory re-testing mandates, and grant issuance. Spectrum Nexus does not guarantee rigid calendar approvals where sovereign agency delays, regulatory policy transitions, public holidays, customs audits, or ministerial moratoria occur.

5. Testing Samples & Customs Clearances

For jurisdictions mandating in-country laboratory evaluations (such as Brazil, China, India, and South Korea), the Client is responsible for shipping operational hardware samples and test accessories in compliance with international freight directives.

While Spectrum Nexus prepares temporary import permits, letters of recommendation, and customs documentation, the Client remains financially responsible for international shipping fees, customs duties, statutory import taxes, and return logistics. Samples retained or consumed during destructive testing protocols cannot be retrieved or refunded.

6. In-Country Representative Protocols

When Spectrum Nexus or its licensed local affiliates act as the statutory In-Country Representative or Certificate Holder:

  • The appointment is strictly limited to administrative regulatory compliance and statutory communication with local telecommunications authorities.
  • The appointment does not transfer manufacturing liability, product defect warranty obligations, commercial import tax responsibilities, or product safety liabilities to Spectrum Nexus.
  • The Client agrees to fully indemnify and hold harmless Spectrum Nexus and its local representatives against any regulatory enforcement penalties, fines, or customs seizures arising from the Client's distribution of non-conforming, unapproved, or adulterated hardware.

7. Non-Disclosure & Confidentiality

Both parties agree to treat all technical documentation, circuit schematics, pre-market test reports, commercial price quotes, and communication as confidential proprietary information. Spectrum Nexus will not disclose confidential client dossiers to any entity other than accredited test labs and official regulatory bodies participating in the certification workflow.

8. Professional Fees & Non-Refundable Statutory Disbursements

Project quotations outline professional engineering retainers, testing fees, and statutory ministerial filing disbursements. Because government regulatory bodies disburse application processing fees immediately upon dossier submittal, statutory government agency fees and laboratory test bench fees are strictly non-refundable once an application has been lodged, regardless of regulatory grant outcome.

9. Limitation of Liability

To the maximum extent permitted under applicable law, Spectrum Nexus's cumulative aggregate liability for all claims arising out of or related to our services, whether in contract, tort, or regulatory negligence, shall not exceed the professional fees paid to Spectrum Nexus for the specific regulatory project under dispute.

In no event shall Spectrum Nexus be liable for consequential, incidental, indirect, or punitive damages, including loss of anticipated profits, commercial launch delays, channel partner penalties, or product recalls.

10. Governing Law & Jurisdiction

These Terms and any project contracts executed hereunder shall be governed by and construed in accordance with the laws of Germany. Any legal disputes arising in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Bremen, Germany.
